我国职业足球俱乐部公司治理研究——以广州恒大淘宝足球俱乐部股份有限公司为例

Corporate Governance of Professional Football Clubs in China:An Example of Guangzhou Evergrande Taobao Football Club Co., Ltd.

  • 摘要: 基于公司治理理论,以广州恒大淘宝足球俱乐部股份有限公司为例,对我国职业足球俱乐部公司治理实践进行分析。认为:应不断完善法人治理结构,健全股东大会、董事会、监事会和高管层内部治理机制;拓展外部治理,积极改善行业协会治理,加强产品市场治理,参与资本市场治理,发展控制权市场治理机制。建议:我国其他职业足球俱乐部应进一步完善内部治理,积极寻求市场竞争活跃的外部治理,重视母公司集团治理,发挥机构投资者在治理中的作用。

     

    Abstract: Citing Guangzhou Evergrande Taobao Football Club Co., Ltd.as an example, this paper analyzed the corporate governance practice of professional football clubs in China based on the theory of corporate governance.It holds that such measures should be taken in corporate governance:to complete the corporate governance structure and the internal governance mechanism of the general shareholders' meeting, board of directors, supervisory board and senior management.At the same time, we should expand the external governance by improving the industry association governance and product market governance, as well as participating in capital market governance and market control management.It is proposed that the other professional clubs have to further develop the internal governance, seek the competitive market-driven external governance actively, emphasize the role of parent company, and exert the influence of corporate investors on the club governance.
